Known by clients and colleagues for his creativity and strategic thinking, Drew routinely thinks “outside the box” to help clients accomplish their goals with cost-effective solutions.  Having worked in finance for a Fortune 500 corporation prior to attending law school and earned a graduate degree in business, Drew is uniquely situated to provide counsel from the business person’s perspective and to assist business and individual clients alike with tactical decisions.

Drew’s practice covers all aspects of business and individual federal, state, local and international taxation and business law including advising S corporations, C corporations, limited liability companies and partnerships at all stages of an entity’s life cycle.  During the start-up stage, Drew assists with choosing the form of entity, drafting various documents including operating agreements, partnership agreements and shareholder agreements and helping to bring the business to market.  Drew teaches a class in a graduate school tax program devoted to negotiating and drafting partnership agreements and operating agreements.

During a business’ growth stage, Drew assists businesses and individuals with the increasing range of issues bidding for the client’s time, attention and money including tax planning, efficiencies, improvement, productivity and strategic partnerships and alliances.  Then, as maturation, succession planning or other circumstances dictate, Drew represents both buyers and sellers in mergers, acquisitions and divestitures and advises clients regarding taxable and non-taxable reorganizations, restructurings, spin-offs and recapitalizations in such a way to limit tax liabilities, prevent successor liability, and to protect and help clients achieve their goal(s). Drew also teaches a class regarding negotiating and drafting sale and acquisition agreements.

In addition to serving as an advisor to for-profit businesses, Drew also advises nonprofit organizations regarding corporate governance and tax-related issues.  Drew has served on many nonprofit boards and brings his wealth of real-world, practical experience to all of his nonprofit clients.  His years of experience assisting with the formation of tax exempt organizations and guiding the completion and submission of exemption applications has provided Drew with the knowledge and experience to identify potential Internal Revenue Service red flags and create a roadmap for each client for as smooth an application process as possible.

For many years Drew has represented and assisted clients with federal, state and local tax controversy matters, including audits, responses to assessments, Offshore Voluntary Disclosures, abatement requests and various levels of administrative and, when required, court appeals.  Drew is widely regarded for his ability to put clients at ease during the process and to negotiate vigorously and strategically on behalf of his clients.
